Terms of Service

Welcome to Notary Kwoter, operated by Power of Attorney Notary Services ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the website located at www.notarykwoter.biz, related applications, and services (collectively, the "Platform").

Notary Kwoter is a marketplace and connection platform. We help customers seeking notary-related services connect with independent notary providers.

By accessing or using the Platform, submitting a service request, or accepting these Terms through the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform or submit a request.

1. Eligibility

You must be at least 18 years old to use the Platform or submit a service request. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

2. About the Platform

2.1 Marketplace Model

Power of Attorney Notary Services operates Notary Kwoter as a marketplace and connection platform. We connect people seeking notary-related services ("you" or "User") with independent service providers ("Providers"). Through the Platform, you may submit a request and may receive communications, availability information, or quotes from Providers in your area.

2.2 We Are Not the Service Provider

We do not personally provide notary services, loan signings, remote online notarization, wedding officiant services, document preparation, process serving, or other professional services listed on the Platform. Those services are performed by independent Providers.

2.3 Independent Provider Relationship

Providers are independent contractors and are not employees, agents, or representatives of Power of Attorney Notary Services. We do not:

  • Employ or supervise Providers
  • Control how, when, or where Providers perform services
  • Set or control Provider pricing
  • Guarantee the quality, legality, availability, or outcome of Provider services
  • Provide legal, financial, or professional advice

3. Service Requests

3.1 Submitting a Request

When you submit a service request through the Platform, you agree to:

  • Provide accurate, current, and complete information about your service needs
  • Provide valid contact information and service-location information
  • Respond to Provider communications in a timely manner if you wish to pursue services
  • Not submit fraudulent, misleading, abusive, or spam requests
  • Not submit information that you do not have the right to provide

3.2 How Requests Are Shared

After you submit a request, we may share relevant request information with one or more independent Providers who may be able to assist you. This may include your name, contact details, requested service type, general location, scheduling preferences, and service-request details.

Providers may contact you directly to discuss availability, ask questions, or provide a quote. We do not guarantee that any Provider will contact you, that a Provider will be available at your requested date or time, or that any quote will meet your expectations or budget.

3.3 No Obligation to Book

Submitting a service request does not require you to hire any Provider. You may accept, decline, or negotiate a Provider's quote. Any agreement for services is solely between you and the Provider you choose to hire.

3.4 Transactions with Providers

Payments for notary-related services are made directly between you and the Provider you hire unless you are specifically informed otherwise in writing. Power of Attorney Notary Services is not a party to your transaction with a Provider and is not responsible for payment disputes, cancellations, refunds, or service disputes between you and a Provider.

4. No Cost to Users

Submitting a service request through the Platform is free to you. There is no charge from Notary Kwoter for submitting a request or receiving Provider quotes. You pay for services only if you choose to hire a Provider, and any service payment is generally made directly to that Provider.

5. User Conduct

You agree not to:

  • Use the Platform for an unlawful purpose
  • Impersonate another person or entity
  • Submit false, inaccurate, misleading, or fraudulent information
  • Interfere with or disrupt the Platform, servers, or connected systems
  • Attempt to gain unauthorized access to accounts, systems, or data
  • Harass, abuse, threaten, or harm Providers, users, or Company personnel
  • Use scraping, data mining, bots, or automated tools to access the Platform
  • Submit requests without a genuine intent to obtain a service provider
  • Use Provider contact information for marketing, solicitation, or unrelated purposes

6. User-Submitted Content

6.1 Your Submissions

You may submit information, documents, messages, and other content through the Platform ("User Content"). By submitting User Content, you represent and agree that:

  • You have the right to provide the User Content
  • The User Content is accurate and truthful to the best of your knowledge
  • You are responsible for the legality and appropriateness of User Content you submit
  • You will not submit illegal, fraudulent, defamatory, obscene, or infringing content
  • You grant us a non-exclusive, royalty-free license to store, use, reproduce, and transmit User Content as reasonably necessary to operate the Platform, process your request, connect you with Providers, and comply with law

6.2 Content Removal

We may remove, restrict, or decline to process User Content at our discretion, including when we believe it violates these Terms, applicable law, or the rights or safety of others.

7. Text Messages and Electronic Communications

7.1 Transactional Communications

If you provide your phone number or email address and affirmatively agree through the Platform, you agree that we may send transactional communications related to your request. These may include verification messages, request confirmations, Provider-match notifications, appointment or scheduling updates, and follow-up messages about an active request.

7.2 Message Frequency and Charges

Message frequency varies based on your service request and interactions with the Platform. Standard message and data rates may apply according to your mobile carrier plan.

7.3 Opting Out

You may opt out of promotional text messages by replying STOP to a promotional message. You may still receive transactional messages necessary to process an active request or provide important service-related updates, where permitted by applicable law.

7.4 Marketing Communications

We will obtain any consent required by applicable law before sending marketing or promotional text messages. Your consent to receive marketing messages is not required to submit a service request or receive a Provider quote.

7.5 Delivery

Delivery of text messages and emails depends on third-party networks and service providers. We do not guarantee delivery, timeliness, or uninterrupted availability of any message.

8. Limitation of Liability

8.1 Platform Provided As Is

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.2 No Guarantee of Provider Services

WE DO NOT GUARANTEE THE QUALITY, ACCURACY, TIMELINESS, LEGALITY, COMPLETENESS, AVAILABILITY, OR OUTCOME OF ANY SERVICE PROVIDED BY A PROVIDER. YOUR DECISION TO CONTACT, HIRE, OR PAY A PROVIDER IS MADE AT YOUR OWN RISK.

8.3 No Liability for Provider Actions

WE ARE NOT LIABLE FOR:

  • The acts, omissions, conduct, or representations of any Provider
  • A Provider's cancellation, failure to appear, delay, or service performance
  • Disputes between you and a Provider
  • Damages arising from services performed or not performed by a Provider
  • Errors or omissions in notarized documents or other Provider services
  • Provider statements about credentials, pricing, availability, or services

8.4 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWER OF ATTORNEY NOTARY SERVICES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED $100.

8.5 No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR LOSS OF GOODWILL.

9. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Power of Attorney Notary Services and its officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of applicable law or a third party's rights
  • User Content you submit through the Platform
  • Your interactions, transactions, or disputes with a Provider
  • Your misuse of services obtained through the Platform

10. Intellectual Property

The Platform and its content, including text, graphics, logos, icons, images, designs, software, and code, are owned by Power of Attorney Notary Services or its licensors and are protected by intellectual-property laws. You may not copy, modify, distribute, reproduce, or create derivative works from Platform content without our prior written permission.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict-of-law principles.

11.2 Informal Resolution

Before filing a legal claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

11.3 Binding Arbitration

If a dispute cannot be resolved informally, any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. Unless the parties agree otherwise, arbitration will take place in Toledo, Ohio, or remotely if permitted under the applicable AAA rules.

11.4 Small Claims Court Exception

Either party may bring an individual action in small claims court in Toledo, Ohio, if the claim qualifies for that court and falls within its jurisdictional limits.

11.5 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND POWER OF ATTORNEY NOTARY SERVICES AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.

12. Service Availability

We do not guarantee that the Platform will be available at all times or without interruption. The Platform may be unavailable because of maintenance, updates, technical issues, or circumstances outside our reasonable control. We are not liable for losses resulting from Platform unavailability.

13. Force Majeure

Power of Attorney Notary Services will not be liable for a failure or delay in performing obligations under these Terms when caused by events beyond our reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, government action, power outages, internet or telecommunications failures, public-health events, or labor disputes.

14. Electronic Communications

By using the Platform or submitting a service request, you agree that we may provide agreements, notices, disclosures, and other communications electronically, including by email, text message, in-app notice, or posting on the Platform. You agree that electronic communications satisfy legal requirements that communications be in writing, to the extent permitted by law.

15. Third-Party Links and Services

The Platform may link to third-party websites or services that we do not own or control. We are not responsible for the content, privacy policies, terms, security, or practices of third parties. Your use of a third-party service is at your own risk and subject to that third party's terms and policies.

16. Changes to These Terms

16.1 Right to Modify

We may modify these Terms from time to time.

16.2 Non-Material Changes

Non-material changes, including clarifications, formatting changes, typographical corrections, and updates related to new Platform features, become effective when posted.

16.3 Material Changes

For material changes, such as changes to data-use practices, dispute-resolution procedures, or user obligations, we will update the Last Updated date and post the revised Terms on the Platform. Where reasonably practical, we may also provide notice by email to users who provided an email address.

16.4 Acceptance of Changes

Your continued use of the Platform after revised Terms become effective means that you accept the revised Terms. If you do not agree, you must stop using the Platform.

17. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, including if we believe you violated these Terms or used the Platform improperly. Upon termination:

  • Your right to use the Platform ends immediately
  • We may cancel active service requests
  • We may delete data, subject to legal and business retention requirements
  • Provisions that should survive by their nature will survive, including limitation of liability, indemnification, and dispute-resolution provisions

18. Assignment

We may assign or transfer these Terms and our rights or obligations under them without restriction. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

19. Waiver

Our failure to enforce a provision of these Terms is not a waiver of that provision. A waiver is effective only if it is in writing and signed by an authorized representative of Power of Attorney Notary Services.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Power of Attorney Notary Services regarding your use of the Platform.
